Going concern

Whether the Company can generate positive cash flow on a consistent basis and, ultimately, achieve profitability is uncertain. These uncertainties cast significant doubt upon the Company’s ability to continue as a going concern.

As at May 31, 2026, the Company had a working capital deficit of $40,803,957 however excluding amounts due to directors and affiliates, the working capital deficit is $16,337,466.

As at May 31, 2026 $7,509,171 (2025 - $5,834,430) of government concession payments remained unpaid and are included in accounts payable and accrued liabilities.

Non-payment of concession fees may result in the revocation of the Company’s concessions, and although no notice of revocation has been received, this presents uncertainty as to the Company’s continued ownership of its concessions.

The auditor, D&H Group LLP, reports that a material uncertainty exists that may cast significant doubt on the Company's ability to continue as a going concern. Our opinion is not modified in respect of this matter.
